What are the formalities to be done ?
The Liaison Office or the Representative Office :
It is a necessary structure for a first creation in France without commercial activity.
The office helps to promote the foreign company and has no accounts in France.
All documents (contracts, invoices) negotiated by the liaison office should be sent and signed by the main company abroad.
The liaison office is intended to make relations easier between foreign companies and public institutions.
The liaison office is required to obtain French gencodes to trade products outside
France or if the foreign company employs staff on the French territory.
The Branch :
Unlike the liaison office, the branch does make business in France and will be registered in the Commercial Register.
For the first implementation in France, this structure is easy to create and more flexible to manage a subsidiary company.
The branch does not own assets. The documents executed by the representative of the branch are concluded on behalf of the foreign company.
Subsidiary :
The subsidiary is a French company which is the majority shareholder of the foreign company.
Registration is similar to a French company (EURL, SARL, SA, etc. ...)
